1. Parties and Definitions

These Terms and Conditions (“Terms”) govern your use of the Pup Notes service. Pup Notes is operated by Infiniti Code Ltd, a company registered in England and Wales (“we”, “us”, “Pup Notes”). “You” or “User” means any individual who accesses or uses the Service. “Service” means the Pup Notes web application, mobile application, and all associated features. “Subscription” means a paid plan. “Content” means all data, text, images, and information you enter into the Service.

2. Acceptance of Terms

By creating an account or using the Service you enter into a legally binding contract with Infiniti Code Ltd and agree to these Terms in full. You must be at least 18 years old to use the Service. The Service is intended for personal, non-commercial use only.

4. The Service

Pup Notes is a dog life journalling and health tracking application. It allows you to log journal entries, track weight and health data, set reminders, store documents, and - for Premium subscribers - receive AI-generated insights about your dog. Nothing in the Service, including any AI-generated content, constitutes veterinary or medical advice. Always consult a RCVS-registered veterinary surgeon for health concerns about your dog.

5. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@pupnotes.co.uk if you become aware of any unauthorised access to or use of your account. We will not be liable for any loss or damage arising from your failure to keep your credentials secure.

6. Subscriptions and Billing

  • Paid plans are billed in advance on a monthly or annual basis via Stripe, processed exclusively at pupnotes.co.uk.
  • No in-app purchases are available. All payments are made on our website.
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • In accordance with the Digital Markets, Competition and Consumers Act 2024, you will receive a reminder email at least 28 days before any automatic annual renewal, and at least 3 days before any automatic monthly renewal where more than 6 months have elapsed.

7. Cancellation

You may cancel your Subscription at any time via your account settings at pupnotes.co.uk. In accordance with the Digital Markets, Competition and Consumers Act 2024, our cancellation mechanism is no more difficult than the process used to subscribe. We will not present excessive confirmation steps, dark patterns, or additional barriers to cancellation.

8. Cancellation and Refund Policy

  • Monthly subscriptions: Cancellation takes effect at the end of the current billing month. You retain full access until that date. No refund is issued for unused days within the billing period.
  • Annual subscriptions: Cancellation is processed immediately. You will automatically receive a refund for all unused complete calendar months remaining in your annual period, calculated from the end of the current month. Refunds are issued to your original payment method within 5–10 business days via Stripe.
  • No refunds are issued for partial months under either plan.
  • If the Service is not delivered with reasonable care and skill as required by the Consumer Rights Act 2015 (s.49), you may be entitled to a price reduction or repeat performance of the Service, regardless of the above.

9. Free Trial

New accounts receive a 14-day free trial with full Premium access. By starting your free trial, you expressly request that the Service begins immediately within the 14-day statutory cancellation period, and you acknowledge that - for any paid Subscription activated during that period - your right to withdraw is waived upon commencement of the digital service, in accordance with Regulation 37 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you do not activate a paid Subscription before the trial ends, your account automatically reverts to the Free tier. No charge is applied.

10. Pre-Contract Summary

In accordance with the Digital Markets, Competition and Consumers Act 2024, before completing any Subscription purchase you will be shown a clear summary of: the plan name, price, billing frequency, auto-renewal terms, and how to cancel. Completing payment constitutes your acceptance of those terms.

11. Price Changes

We will give you at least 30 days’ notice by email before any price increase takes effect on your Subscription. You may cancel your Subscription before the new price applies without penalty. If you do not cancel, your continued use of the Service after the notice period constitutes acceptance of the new price.

12. Acceptable Use

You must not use the Service to:

  • Scrape, copy, or reproduce Service content without permission
  • Impersonate any person or entity
  • Upload, post, or transmit any unlawful, harmful, defamatory, or fraudulent content
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Use the Service for commercial resale or to build a competing product
  • Violate any applicable UK or international law or regulation

13. User Content

You retain ownership of all Content you submit to the Service. By submitting Content, you grant Infiniti Code Ltd a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, and display your Content solely for the purpose of providing the Service to you. We do not use your Content to train AI models. We do not sell your Content to third parties.

14. Intellectual Property

The Pup Notes name, logo, design, code, AI prompts, and all other materials comprising the Service are the intellectual property of Infiniti Code Ltd, protected by UK and international copyright and trade mark law. Nothing in these Terms grants you any licence to copy, reproduce, distribute, or create derivative works from any part of the Service.

15. AI and Health Information

AI-generated insights are produced using Anthropic’s Claude large language model. They are provided for informational and journalling purposes only. They do not constitute veterinary, medical, or professional advice of any kind. Infiniti Code Ltd accepts no liability for any decision made, or action taken, on the basis of AI-generated content. You should always consult a RCVS-registered veterinary surgeon for any health concerns about your dog.

16. Service Availability

We aim to provide a reliable and uninterrupted service but do not guarantee continuous availability. Planned maintenance, third-party infrastructure failures, and force majeure events may cause downtime. We will communicate planned maintenance where possible. We accept no liability for loss or damage resulting from service interruptions, data loss caused by third-party infrastructure, or events beyond our reasonable control.

17. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total liability to you arising out of or in connection with these Terms or the Service is limited to the greater of (a) the total fees you paid to us in the 12 months immediately preceding the event giving rise to the claim, or (b) £50.
  • We exclude all liability for indirect, consequential, special, or economic loss, loss of profits, loss of data, or damage to reputation, whether arising in contract, tort (including negligence), or otherwise.

Nothing in these Terms limits or excludes our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any liability that cannot lawfully be excluded or limited under the Consumer Rights Act 2015 or any other applicable legislation.

18. Indemnification

You agree to indemnify and hold harmless Infiniti Code Ltd, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from your use of the Service or your breach of these Terms.

19. Termination

We may suspend or terminate your account by giving 7 days’ written notice for material breach of these Terms, or immediately and without notice for serious violations including but not limited to: uploading unlawful content, fraud, or actions that put the security of the Service or other users at risk. You may delete your account at any time via your account settings. Upon termination, your Content is retained for 30 days and then permanently deleted, in accordance with our Privacy Policy.

20. Changes to These Terms

We will give you at least 14 days’ advance notice by email before any material changes to these Terms take effect. Continued use of the Service after the expiry of the notice period constitutes your acceptance of the revised Terms. If you do not accept the changes, you may cancel your Subscription before they take effect.

21. Complaints and Disputes

If you have a complaint about the Service, please contact us at hello@pupnotes.co.uk. We aim to respond to all complaints within 30 days. Nothing in these Terms affects your statutory rights or your right to bring a dispute before a UK court.

22. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to your rights as a consumer to bring proceedings in your local courts.

23. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Infiniti Code Ltd regarding your use of the Service and supersede all prior agreements, representations, or understandings between the parties.
